Terms of Service

I. Private Membership Status

Ladybug Academy operates strictly as a Private Membership Association (PMA) under the protection of the U.S. Constitution, including but not limited to the First and Fourteenth Amendments, guaranteeing the Freedom of Association, Speech, and Contract. All interactions, exchanges, and communications within this Association occur exclusively in the private domain and are not open to the general public.

By joining Ladybug Academy as a Member, Educator, Parent, or any associated title, you affirm that you are entering into a private, contractual relationship with the Association and agree to all terms and policies herein.

II. Membership and Acceptance of Terms

Membership is obtained through voluntary application and acceptance by Ladybug Academy. By becoming a Member, you acknowledge that:

• You are entering into a private contractual agreement governed by Natural Law and Contract Law.

• You are not engaging in a public transaction or forming a public business-to-consumer relationship.

• You consent to the exclusive jurisdiction of the Ladybug Academy Head Members (Council) to resolve any disputes arising within the Association.

• All agreements, including side or sub-contracts related to shared responsibilities, instruction, services, or support roles, remain within the private domain and are bound under this same contractual framework.

III. Scope of Participation

All Members—whether designated as educators, students, assistants, administrators, or parents—agree to:

• Conduct all communications, exchanges, and educational activities within the private sphere.

• Refrain from representing Ladybug Academy or its Members in any public capacity without written authorization from the Head Members.

• Uphold confidentiality regarding all internal information, documents, or member interactions.

• Abide by all contractual duties agreed upon, including those formed outside of the primary membership agreement but relating to the Association’s operations.

IV. Contractual Obligations and Responsibilities

Membership signifies a binding contractual commitment under Natural Law.

All rights, duties, and obligations arise solely through private contract.

Breach of contract, misconduct, or actions harmful to the Association or its Members may result in suspension or termination of membership.

Any sub-agreements or cooperative efforts formed between Members within Ladybug Academy (including shared educational projects or resources) remain private contracts subject to these Terms.

V. Jurisdiction and Dispute Resolution

All disputes, claims, or disagreements among Members or between a Member and the Association shall be resolved internally by the Head Members or designated Council.

The Head Members serve as the final arbiters in all internal matters.

Members agree that disputes should first be addressed through the Association’s internal dispute resolution process before pursuing any external remedies permitted by law.

All resolutions shall be made according to principles of Natural Law, Honor, and Good Faith Contractual Practice.

VI. Nature of the Agreement

This Terms of Service constitutes a Private Membership Agreement between Ladybug Academy and its Members.

It does not constitute a public business contract, commercial offering, or government-regulated educational institution.

No part of the Association’s private operations shall be construed as operating in commerce or within public jurisdiction.

The Association reserves all rights to limit, amend, or terminate membership agreements in accordance with its internal bylaws.

VII. Confidentiality and Private Domain

All materials, conversations, lessons, records, and data shared within the Association—whether electronic or physical—are strictly private.

Such information shall not be disclosed, published, or distributed to any third party without explicit authorization from the Head Members.

Phone numbers and messaging consent provided by Members are treated as confidential information and will not be sold, rented, or shared with third parties for marketing purposes.

VIII. Amendments

Ladybug Academy reserves the right to amend this Agreement as necessary to preserve the private integrity and lawful function of the Association.

Members will be notified within the private community prior to any material updates.

IX. Legal Notice

By signing or otherwise accepting membership, you affirm that you:

• Enter this private agreement knowingly, voluntarily, and without coercion.

• Recognize that you are a Private Member, not a customer or public client.

• Accept that all actions, contracts, and communications occur in the private domain under Natural Law and Contract Law.

• Acknowledge the Head Members as the lawful arbiters and stewards of this Association.

X. Electronic Communications & SMS Messaging Terms

SMS messages are sent only to individuals who voluntarily provide their phone number and provide consent through website forms, membership registration, or direct request to receive communications.

SMS Messaging Program

By voluntarily providing a phone number and opting in to communications from Ladybug Academy, you consent to receive telephone calls and SMS text messages from the Association.

Messages may include the following categories:

Transactional Communications

Messages related directly to your participation in the Association, including but not limited to:

• Appointment reminders

• Application updates

• Enrollment confirmations

• Scheduling updates

• Account notifications

• Program participation messages

• Service-related alerts

Informational and Program Updates

Members who opt in may also receive informational messages related to:

• Enrollment updates

• Program details

• Community announcements

• Educational opportunities

• Event reminders

• Occasional academy updates

Message frequency may vary.

Opt-Out Instructions

You may opt out of SMS communications at any time by replying STOP.

After sending STOP, you will receive confirmation and no further messages will be sent unless you opt in again.

Help Instructions

For assistance, reply HELP or contact the Association directly through our official website.

Message and Data Rates

Message and data rates may apply depending on your mobile carrier and service plan. Members are responsible for any charges billed by their wireless provider.

Carrier Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.

No Third-Party Marketing

Phone numbers and SMS consent collected by Ladybug Academy are used solely for communications related to membership and Association activities. SMS consent is not shared, sold, or transferred to third parties or affiliates for marketing purposes.

Age Requirement

Participants in SMS communications must be at least 18 years of age or have consent from a parent or legal guardian.
